The following terms of business constitute a legally binding agreement regarding use of the services provided by Muse Translation. By requesting me to provide any of these services, you are agreeing to these terms of business.

Terms

These Terms apply to all contractual relationships between Muse Translation (“Provider”) and its Clients, and constitute the whole agreement between the parties, except where agreed otherwise in writing. All other terms and conditions express or implied by statute or otherwise are excluded to the fullest extent permitted by law. New Zealand law shall apply to the contract, and the parties submit to the jurisdiction of the New Zealand Courts. If any provision of these Terms is invalid or unenforceable in whole or in part, the validity and enforceability of the other provisions of these Terms and the remainder of the provision in question shall not be affected. Muse Translation may modify these Terms at any time.

  1. SERVICES
    a) Definition:
    The Services offered to Clients are those of:
    i. translation from the specified source language into the specified target language or the revision of a specified translation;
    ii. transcription of handwritten documentation provided in the specified source language into electronic format; and
    iii. editing or proofreading of documentation provided in the specified target language.
    b) Purpose:
    Any translated or revised work is for the exclusive use of the Client in its ordinary course of business and will not be published or otherwise distributed for profit, without the prior written consent of the Provider. Furthermore, it is understood that any translated or revised work will not form the substance of any legal agreement without prior review by an appropriate legal advisor.
  2. DOCUMENT OWNERSHIP AND CONFIDENTIALITY
    a) Right to use documentation
    The Client warrants that any original documentation and its use by the Provider as requested by the Client shall be lawful and will not infringe the copyright or other rights of any third party, and the Client shall indemnify the Provider against any loss, damages, cost, expenses or other claims arising from any such infringement or illegality.
    b) Confidentiality
    Any original documentation or information provided by the Client is confidential, and any translated or revised work shall be kept confidential by the Provider. But the foregoing shall not apply to any documentation or other information which is or becomes public knowledge through no breach of this provision by the Provider.
  3. COPYRIGHT IN TRANSLATIONS
    a) In the absence of a specific written agreement to the contrary, copyright in the translation remains the property of the Provider.
    b) The Provider may use and sell, or resell, any non-confidential translation or any part or record thereof not covered by copyright, legal professional privilege or public interest immunity.
    c) Where copyright rights are assigned or licensed by the Provider to the Client, this takes effect only upon payment in full by the Client of the agreed fee.
    d) Where the Provider retains the copyright, unless otherwise agreed in writing, any published text of the translation shall carry the following statement: ‘© English text Hannah Burdekin (year of publication)’ as appropriate to the particular case.
    e) The Client agrees to credit the Provider as the translator on both the cover and title page of any published hard copy of the translation or alongside the translation if it is published online in the format ‘English translation by Hannah Burdekin’ or as otherwise agreed by Client and Provider. The Provider’s name will also appear in all promotional materials concerning the translation (catalogues, advertisements, website, etc.).
    f) Written permission should be sought from the Provider prior to any amendments or additions being made to the final translation, even if ownership of copyright has transferred to the Client.
    g) The Provider will not be liable for the accuracy or completeness of any amendments or additions to the final translation that are made if written permission has not been sought or has not been granted.
  4. DELIVERY AND CANCELLATION
    a) Delivery of translations shall be in the form and at the time agreed. Notwithstanding, time shall not be of the essence.
    b) If the Client cancels or withdraws any portion of an item to be translated, revised, transcribed, edited or proofread prior to completion by the Provider, then the Client shall pay the Provider the portion of the fee agreed for the complete job represented by the portion of total text translated, revised, transcribed, edited or proofread, but in any event not less than 50% of the fee.
    c) Where the Client does not attend an agreed appointment the full fee for that appointment will be payable.
  5. DISPUTES
    Any dispute as to the accuracy of any translation, revision or transcription or the quality of any service provided under these Terms must be advised, in writing, within twenty working days of delivery.
  6. LIABILITY
    a) To the extent permitted by law, liability is limited to the return of any amount paid and/or waiver of any amount payable for the translation, revision or other service, and no responsibility or liability is accepted for any consequential losses.
    b) To the extent permitted by law, all implied warranties are excluded.
    c) The Provider shall have no liability to the Client for any loss, damage, cost, expense, or other claim arising from any original documentation or instruction supplied by the Client being incomplete, inaccurate, incorrect, illegible, out of sequence or in the wrong form, or arising from their late arrival or non-arrival.
    d) The Provider shall have no responsibility whatsoever for any change made to a translation, revision or transcription by any person other than the Provider.
    e) The Provider shall have no liability to the Client for delays due to any cause beyond the Provider’s reasonable control.
  7. PAYMENT TERMS
    a) All invoices will be rendered in, and payable in New Zealand dollars unless agreed otherwise with the Client. Prices are quoted exclusive of GST, unless stated otherwise, and GST at the appropriate rate will be added to all quoted prices.
    b) Additional fees will be payable in the event any of the following are required to complete any work:
    i. any investigation, inquiry, or research beyond that required for the normal provision of services because of ambiguities in the item(s) supplied by the Client;
    ii. additional services required because the Client has made changes in the item(s) supplied after confirmation of the order; and
    iii. changes to a translated or revised text not required for accuracy, but requested by the Client after delivery, because of the Client’s preferences as to style or vocabulary.
    c) All out-of-pocket travel expenses will be charged at cost. Motor vehicle travel will be charged at the Public Service Mileage rate issued by the IRD, applicable to the vehicle used for the purpose. Travel time will be charged at any rate agreed.
    d) The Client shall reimburse the Provider for necessary expenses incurred by the Provider that are not a normal part of routine provision of services, such as urgent or overnight document delivery services requested by the Client, long distance telephone and facsimile expenses to clarify document ambiguity, or verification services contracted to third parties.
    e) Payment shall be made within fourteen days of date of invoice. Where the anticipated account will exceed $1000 and/or for new Clients, an advance payment of 50% of the anticipated fee may be required. Credit terms may be agreed in writing, in which case payment shall be made no later than the 20th of the month following the month of invoice. Any payments for fees or costs not received by the Provider by due date will be deemed late and interest at the Provider’s overdraft rate plus 5% per annum may be charged. The Client shall also pay all the Provider’s costs in collecting late payments due from the Client, including all legal fees (on a solicitor client basis).
  8. APPLICABILITY AND INTEGRITY
    a) This agreement shall come into effect either:
    i. when the Client signs the agreement; or
    ii. when the Client commences delivery of the source material; or
    iii. when the Provider provides any services under the agreement, whichever is the earlier.
    b) This agreement may be subject to any detailed requirements or variants expressly specified in the instructions relating to a particular service requested.
    c) No waiver of any breach of any condition in this agreement shall be considered as a waiver of any subsequent breach of the same or any other provision.We hereby accept these terms and conditions:Signed by Provider

I’m Hannah Burdekin. I’ve been a full-time translator since 2016 but my interest in language and words stretches back to my childhood. Having tried to teach myself German from a Berlitz phrasebook when I was eight (unsuccessfully!), I started studying French and German at secondary school and went on to complete a BA in the same languages, and a Masters and a Doctorate in German literature at the University of Oxford. I then spent ten years working for the UK government Department of Health, where I produced ministerial briefings and speeches and contributed to governmental consultations and reports.

But my love for German in particular never went away and after moving to New Zealand in 2011 I spent some years working as a Tutor in German at the University of Auckland. I now combine my background in languages with the skills in research and writing gained from my time in academia and the Civil Service.
